Condominium Associations

This is the foundation of our practice.  We represent hundreds of condominium associations across the State of Michigan.  The scope of our representation extends to virtually every aspect of condominium operation, at every stage of development. 

The following are some examples of the ways in which we provide valuable legal services for condominium associations:

  • General counseling on all aspects of condominium association operation and legal compliance, in particular with regard to the requirements of the Michigan Condominium Act

  • Collection of unpaid condominium assessments from co-owners through the imposition and foreclosure of liens

  • Addressing bylaw violations and assisting with the enforcement of bylaws

  • Assisting Boards that face construction defect issues in seeking redress from developers

  • Analysis of a condominium association’s current condominium documents for the purpose of identifying provisions of the documents that may require amendment to comply with current law, or simply for the purpose of better serving and protecting the association, its directors and co-owners

  • Representation of the condominium association’s board of directors in various types of legal disputes that might arise with co-owners and third parties, such as contractors and mortgage lenders (back to top)


Homeowners Associations & Housing Cooperatives

In addition to our representation of condominium associations, we also represent a number of homeowners associations and housing cooperatives.  These organizations encounter many of the same types of legal issues and disputes that condominium associations encounter.  As such, we offer homeowners association and housing cooperatives the same types of services and level of expertise that we provide to our condominium association clients, while recognizing the special needs of each different association. Individual Condominium Co-owners & Homeowners

In addition to our extensive representation of condominium and homeowners associations, we also assist individual co-owners and homeowners in legal disputes with associations. Our representation in this area includes:

  • Drafting and negotiation of purchase agreements and other documents for the sale/purchase of real property

  • General legal counseling about condominium and real estate matters

  • Defect litigation

  • Enforcement and defense of co-owner’s/homeowner’s rights

  • Representation of co-owners/homeowners in litigation and legal disputes with the Association and other parties

  • Review of real estate sales documentation, including condominium documents, deeds, purchase agreements, disclosure statements, easements, title insurance policies and surveys

Construction Lien Disputes

We assist associations, individuals and business with the filing of construction lien documentation pursuant to the Michigan Construction Lien Act, representation in lien litigation, and the resolution of construction lien disputes. (back to top)


Landlord-Tenant Issues – Commercial and Residential

Our attorneys have extensive experience in landlord-tenant matters, including evictions for non-payment of rent.  We have represented association and housing cooperative clients in Summary Proceedings in many District Courts throughout the State of Michigan.  In addition, we provide individuals with legal counseling and representation in lease interpretation and landlord-tenant disputes.

Residential Housing Defect Litigation

We represent individual co-owners and homeowners who are seeking redress for defects in their homes.  These types of disputes range from cases against real estate developers and builders for construction defects and breaches of warranty to fraud cases based upon a seller’s failure to disclosure latent material defects. Real Estate Transactions – Commercial and Residential

Our attorneys are skilled in the structuring and execution of real estate transaction of all sizes.  We represent individual homeowners as well as multi-million dollar project developers in the drafting, negotiation, review and execution of the documentation necessary to effect real estate transactions in a manner that best protects our clients and serves their interests.

Our firm’s specialized focus in the area of real estate enables our attorneys to quickly identify and address the many unique problems and aspects of each real estate transaction.  This focus and experience enables us to protect our clients against risks, through the careful negotiation, drafting and execution of each real estate document in a prudent yet cost-efficient manner. Corporate Law

Many of our clients (i.e., condominium and homeowners associations) are organized as non-profit corporations.  We assist these clients in addressing all of the issues that they face as corporations, including:

  • Assisting corporations in taking measures to protect volunteer directors against fiduciary liabilities

  • Assisting with the preparation and filing of documentation to meet the state’s requirements for corporations, including annual reports, articles of incorporation, and amendments

  • General counseling regarding the requirements of Michigan’s corporate laws, such as the need to observe corporate formalities, requirements for valid meetings of a corporation’s board of directors, and the taking of corporate minutes

  • Organizational issues, including the filing of the necessary documentation to create a corporation

Limited Liability Companies

We assist individuals and businesses in the creation and operation of single-member and multi-member limited liability companies.  Our services in this regard include but are not limited to the following:

  • Drafting and filing of the Articles of Organization to create the limited liability company

  • Drafting the Operating Agreement between the company and its members, which governs the key characteristics of the company, including voting rights, contribution obligations, capital structure, distribution rights, and dissolution provisions

  • Drafting and filing federal and state tax registration forms, and obtaining a Federal EIN (Employer Identification Number) for the new company (if necessary)

  • Counseling regarding the Michigan Limited Liability Company Act and its impact on the various aspects of your new company

Although they have only existed for roughly the last ten years, limited liability companies are flexible entities that in a very short time have become an increasingly popular vehicle for doing business.  In short, these entities combine many of the best legal and tax aspects of partnerships and corporations.  Our attorneys can provide counseling as to the many ways in which a limited liability company may best suit your business needs.
